By accessing or using LoyaltyHQ ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

LoyaltyHQ is a multi-tenant partner referral management platform that enables businesses to create and manage partner referral programs, track referrals, award points, and manage reward redemptions.

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your password
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Attempt to gain unauthorized access to the Service
  • Interfere with or disrupt the Service
  • Upload malicious code or content
  • Create fake referrals or game the points system
  • Resell access to the Service without authorization

5. Subscription and Billing

5.1 Pricing

Our pricing plans are listed on our website. Prices are subject to change with 30 days notice for existing subscribers.

5.2 Billing

Subscriptions are billed monthly or annually in advance. All payments are processed securely through Stripe.

5.3 Refunds

We offer a 14-day free trial. After that, subscription fees are non-refundable except as required by law.

5.4 Cancellation

You may cancel your subscription at any time. Access continues until the end of your current billing period.

6. Partner Programs

6.1 For Program Operators

As a business running a partner program on LoyaltyHQ, you are responsible for:

  • Setting fair and achievable reward criteria
  • Fulfilling reward redemptions in a timely manner
  • Complying with applicable laws regarding referral programs
  • Managing your partners in accordance with your own policies

6.2 For Partners

As a partner in a program, you understand that:

  • Points and rewards are subject to the program operator's rules
  • LoyaltyHQ is a platform provider, not the program operator
  • Disputes about rewards should be addressed with the program operator

7. Intellectual Property

The Service and its original content, features, and functionality are owned by LoyaltyHQ and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of any content you submit to the Service, but grant us a license to use it as necessary to provide the Service.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOYALTYHQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless LoyaltyHQ and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination, your right to use the Service will cease immediately. Provisions of these Terms that by their nature should survive termination will survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms on this page and updating the "Last updated" date.
